PONY AI Inc. Launches Hong Kong Initial Public Offering
PONY AI offers 41.96 million Class A shares with a Hong Kong public and international offering, including a 15% over-allotment option to expand market access.
- On October 28, 2025, PONY AI Inc. launched a Hong Kong IPO of 41,955,700 Class A ordinary shares, listing on The Stock Exchange of Hong Kong, Main Board .
- Under the prospectus, the IPO comprises a Hong Kong Public Offering initially of 4,195,600 Class A ordinary shares and an International Offering initially of 37,760,100 Class A ordinary shares, representing a 10%/90% allocation split.
- Pony.ai plans to grant international underwriters an over-allotment option for 6,293,300 additional Class A ordinary shares, or up to 7,237,300 if the offer size adjustment option is exercised, capped at 15%.
- During the forty -day Distribution Compliance Period, no Class A ordinary shares will be accepted by the depositary for deposit in the ADR facility; shares become fungible with ADSs on NASDAQ afterward.
- Pony.ai disclosed that Goldman Sachs L.L.C., Merrill Lynch Limited , Deutsche Securities Asia Limited and Huatai Financial Holdings Limited act as joint sponsors, and the press release contains forward-looking statements referring investors to SEC filings for risks.
