Vertiv Announces Agreement to Acquire UtilityInnovation Group to Accelerate Time to Power for AI Data Centers
The deal adds microgrid controls and behind-the-meter power architecture as grid constraints slow AI data center buildouts, Vertiv said.
On Wednesday, Vertiv Holdings announced it will acquire Utility Innovation Group for approximately $1.45 billion in cash at closing.
Vertiv CEO Gio Albertazzi said the acquisition extends the company's portfolio upstream to the grid interconnect, helping data center operators secure power faster as grid constraints limit AI infrastructure deployment.
Founded in 2020, Raleigh-based UIG provides microgrid systems and proprietary controls for data centers; the deal includes up to $1.15 billion in earnouts, valuing the acquisition at approximately 13 times expected 2027 EBITDA.
Shares of the Westerville, Ohio-based power equipment maker fell about 2% in premarket trading on Wednesday, as the transaction is expected to close in the fourth quarter of 2026.
This combination positions Vertiv to offer a coordinated power architecture from source to chip, supporting grid-connected, bridge-to-grid, and islanded sites while reducing deployment complexity.
