Cleanaway Waste Management Enters $9.3bn Scheme with EQT Infrastructure
The board says the offer delivers a 34.5% premium and up to $0.19 a share in special dividends, pending approvals and expert sign-off.
On Friday, October 16, 2026, Cleanaway Waste Management announced it entered a Scheme Implementation Deed to be acquired by EQT Infrastructure for $3.095 cash per share, valuing the company at approximately $9.3 billion.
EQT Infrastructure partners Ken Wong, Tobias Kung, and managing director Sam Franklin secured a $5.6 billion debt package, the largest financing on Australian shores in years, eclipsing Macquarie Asset Management's $4.95 billion Qube loan.
Cleanaway Chair Samantha Hogg announced the Board unanimously recommends the scheme, which may include a fully franked special dividend of up to $0.19 per share pending regulatory approvals from the ACCC and FIRB.
While the Board supports the deal, Cbus and Schroders have privately raised concerns; shareholders will vote at a meeting expected before the end of February 2027, with completion targeted by late March 2027.
Cleanaway shares have declined 11% over the past 12 months, trailing the S&P/ASX 200 Index, positioning EQT Infrastructure to take the company private pending court approval and the absence of superior proposals.
