CoreWeave Files for $3.0B Convertible Notes Offering with up to $500 Million Option (CRWV:NASDAQ)
The company said the program will add financing flexibility as it pursues investment-grade credit status.
On Thursday, CoreWeave, Inc. announced an at-the-market offering program allowing the company to sell up to 35,000,000 shares of Class A common stock to provide ongoing financing flexibility.
The company established this program to support its objective of migrating its enterprise credit profile toward investment grade, with sales decisions based on market conditions and capital structure objectives.
In the third quarter of 2026, CoreWeave signed short-dated customer contracts spanning three to six months, with pricing reaching approximately $40 million per megawatt for compute capacity.
Early in the third quarter of 2026, CoreWeave added over $25 billion in net new customer commitments and increased total contracted power to approximately 4.2 gigawatts as of August 11, 2026.
Sales agents for the program include Deutsche Bank Securities Inc., Goldman Sachs & Co. LLC, and Morgan Stanley & Co. LLC, which may facilitate the sale of borrowed shares under the program.
