New Florida LLC Structure Creates Additional Planning Options for Orlando Business Owners
The structure gives owners more flexibility for asset protection, succession and tax planning, attorneys said.
Florida's Protected Series Limited Liability Company law took effect July 1, 2026, allowing qualifying LLCs to create individual protected series with separate assets and liability protections within a single structure.
The September/October 2026 edition of The Florida Bar Journal provides implementation guidance, prompting attorneys and entrepreneurs to evaluate how the new framework applies to their Florida operations and future planning.
"Entity selection has long-term consequences," founding partner Samuel B. Weissman said, advising that an LLC structure should support current operations while anticipating where owners intend to take the business in the future.
Partner Jonathan J. A. Paul emphasized the structure does not automatically suit every company, noting owners should prioritize specific objectives rather than simply choosing the newest option available.
Attorneys caution that owners of existing Florida LLCs should review organizational documents to ensure alignment with new statutory requirements for separate recordkeeping and asset documentation for each protected series.
