Keurig Dr Pepper Announces New Directors and Governance Changes
Keurig Dr Pepper appointed two independent directors and split its Remuneration & Nominating Committee into Nominating & Governance and Compensation Committees to enhance governance.
- Yesterday, Keurig Dr Pepper announced it appointed two independent directors, Amie Thuener and William "Bill" Newlands, effective March 2, and restructured its board committees, said Tim Cofer.
- Driven by a push for best-in-class governance, KDP said the changes support its transformation as it approaches the JDE Peet's acquisition in early Q2.
- Bringing cross-industry experience, Thuener will join KDP's Audit & Finance Committee, and Newlands will serve on Nominating & Governance Committee, with respective decades of expertise.
- KDP said the appointments will provide focused oversight, with Patsley, Chair of the Remuneration & Nominating Committee, stating Thuener and Newlands will add valuable perspective.
- Looking toward the planned separation and deal closing, William "Bill" Newlands will retire from the Board in April as KDP warns of transaction risks and SEC forward-looking statement cautions.
