Information Services Corp. to be acquired by Plenary Americas LP $1.2B deal
The all-cash deal gives ISC shareholders $51 per share, a 55% premium, and keeps the company’s Regina headquarters and registry data in Saskatchewan.
On Tuesday, Information Services Corporation announced an all-cash acquisition by Plenary Americas LP valued at approximately $1.2 billion, keeping the Regina-based company headquartered in Saskatchewan while positioning it for expansion across Canada and the United States.
The acquisition concludes a strategic review launched in September 2025 aimed at maximizing shareholder value, during which the Special Committee of the Board of Directors evaluated multiple acquisition proposals before selecting Plenary Americas as the final bidder.
Shareholders will receive $51 per share, representing a 55 per cent premium over the unaffected price, while the Government of Saskatchewan retains its Golden Share to ensure registry operations and the head office remain in Regina.
The province expects to receive approximately $277 million from the sale before fees and closing costs, with government officials stating the proceeds will be directed toward future health care infrastructure projects.
ISC president and CEO Shawn Peters will remain in his role after the transaction closes in the third quarter of 2026, pending shareholder, court, and regulatory approvals, ensuring leadership continuity under Plenary's long-term infrastructure investment approach.
