Brookfield Announces Shareholder Approval of Transaction to Simplify Corporate Structure and Results of 2026 Annual and Special Meeting
Shareholders approved a plan to simplify Brookfield's corporate structure, creating a new parent entity to be listed on the Toronto Stock Exchange (TSX) and New York Stock Exchange (NYSE).
On Thursday, July 16, 2026, Brookfield Corporation shareholders approved a transaction to simplify the company's corporate structure at its annual and special meeting. Upon completion, Brookfield Corporation Ltd. will become the new parent entity, trading under symbol BN on the TSX and NYSE.
The corporate reorganization remains subject to customary conditions and receipt of all applicable regulatory approvals. Management expects the transaction to close by year-end, pending final regulatory sign-off.
Shareholders elected all eight nominees proposed for the board of directors by holders of Class A Limited Voting Shares and Class B Limited Voting Shares. Detailed results are available on EDGAR and SEDAR+.
Satish C. Rai received over 675,269 votes, representing 99.60% of the tally. The holder of Class B Shares voted all 85,120 shares for each of the eight nominated directors.
Separately, Brookfield Wealth Solutions announced that its shareholders approved the simplification transaction at an annual general and special meeting held earlier on Thursday. The firm continues its focus on retirement services and capital solutions.
