The combined company expects $100 million in annual synergies by year three as it targets cross-selling, international growth and lower preferred-stock payouts.
On Wednesday, Shoals Technologies Group Inc. reported third-quarter net income of $17.9 million while announcing a definitive merger agreement with Array Technologies to create a combined energy infrastructure platform.
Management identified an 80% non-overlap in existing project volumes between the two companies, representing a cross-selling opportunity estimated at $2.5 billion in incremental sales if both product suites were deployed together.
Shoals posted Q3 revenue of $195.3 million, up 44% year-over-year, while Array reported $330 million in revenue including the first month of contribution from Affordable Wire Management acquisition.
Under the all-stock merger agreement, Shoals shareholders will own 65% of the combined entity, with the company planning to redeem $161.3 million in preferred stock within 90 days of the expected Q1 2027 closing.
The combined organization projects 2027 revenues between $2.2 billion and $2.4 billion, supported by approximately $3.4 billion in awarded orders as of September 30, 2026, positioning the platform for significant near-term growth.
