Proofpoint to Buy Varonis for $6.3 Billion

The combined company will expand data-security offerings and reach more customers, with Proofpoint calling the deal a major step in its platform strategy.

  • Varonis specializes in mapping sensitive information and controlling access, while Proofpoint protects perimeters by blocking phishing and fraud; combined, they aim to remediate risks at machine speed.
  • The acquisition, approved unanimously by the Varonis board, is expected to close in the first half of 2027. Varonis CEO Yaki Faitelson said joining Proofpoint advances the mission to "secure AI and the data that powers it."
  • Proofpoint, owned by private equity firm Thoma Bravo, continues expanding its portfolio following the acquisition of Hornetsecurity, a German provider of Microsoft 365 security services, in a deal worth more than $1 billion.
