Snacks Maker Utz Brands Sold for $2.9B in Go-Private Deal
The all-cash deal gives Intersnack a U.S. foothold and leaves the founding families with half ownership after closing.
On Tuesday, July 21, 2026, Hanover-based Utz Brands, Inc. announced a definitive agreement to be acquired by Germany-based Intersnack Group GmbH & Co. KG in a deal valuing the snack manufacturer at approximately $2.9 billion.
Intersnack will acquire all outstanding Class A common stock for $14.25 per share, representing a premium of about 91% over the July 20 closing price. Upon closing in the fourth quarter of 2026, the Rice and Lissette family and Intersnack will each own 50% of the company.
Dylan Lissette will assume the role of Executive Chair, while Intersnack Executive Chairman Johan van Winkel stated the partnership offers a "tremendous opportunity to partner and build on Utz's strong foundation" in the U.S. snacking market.
The transaction will be financed through approximately $920 million in cash from Intersnack, a $1.1 billion term loan facility, and a $250 million asset-based lending facility, with the Rice and Lissette family providing rollover equity.
Utz intends to "maintain its ongoing commitment to Hanover" while leveraging Intersnack's global resources to accelerate growth, concluding a six-year run on public markets as the company aims to expand beyond its Mid-Atlantic home market.
