Kimberly-Clark Corporation Announces Pricing of $4.9 Billion Private Offering of Senior Notes
The notes will be sold in five tranches and could help finance Kimberly-Clark’s planned Kenvue acquisition, with closing expected Oct. 29, the company said.
On Monday, October 19, 2026, Kimberly-Clark Corporation announced pricing of $4.9 billion in senior unsecured notes to fund its proposed acquisition of Kenvue Inc.
Five tranches of notes ranging from 2028 to 2036 comprise the offering, supporting the acquisition expected to close in the fourth quarter of 2026.
If the acquisition is not consummated by May 31, 2027, Kimberly-Clark will be required to redeem all outstanding notes at 101% of their aggregate principal amount.
On September 28, 2026, Kimberly-Clark commenced exchange offers and consent solicitations for Kenvue's existing senior notes as part of the acquisition strategy.
The notes are offered exclusively to qualified institutional buyers under Rule 144A and remain unregistered under the U.S. Securities Act of 1933.
