Carlin Gold Corp. [CGD-TSXV, CGDCF-OTCQB] has announced a $21.5 million strategic investment by Electrum Gold Exploration LLC and a $8.5 million private placement financing. Net proceeds are earmarked for exploration at the company’s Nevada properties, including drilling at Cortez Summit. The announcement comes after the company recently revealed its plan to spin-out a 5.0% net smelter return royalty jn its Cortez Summit property to a wholly-owned subsidiary. It said the shares of SpinCo will be distributed to shareholders under a plan of arrangement. Carlin shares were unchanged at $1.51 on Tuesday and currently trade in a 52-week range of $1.57 and 16 cents. The company said Electrum Gold has agreed to subscribe for and purchase, via a non-brokered private placement, 16.5 million units of the company priced at $1.30 per unit. Carlin said it has also entered into an engagement letter with Canaccord Genuity Corp. for a brokered private placement of up to 6.53 million units priced at $1.30 per unit. It said the underwriter has been granted the option to sell up to 980,769 additional units at the same price, raising additional gross proceeds of $1.27 million.  That option can be exercised, in whole, or in part, up to 48 hours prior to closing. Under the financing, each unit will consist of one common share and one share purchase warrant. Each warrant will entitle the holder to acquire one common share at an exercise price of $1.50 per warrant share for two years after closing of the strategic investment or private placement, as applicable, subject to customary anti-dilution adjustments, including in the event of any consolidation, subdivision or share dividend and certain distributions of cash and/or property by the company while the warrants are outstanding, and subject to adjustment in the event that the company’s previously announced spin-out is completed while the warrants are outstanding. Carlin Gold is a Vancouver-based exploration company with a portfolio of three wholly-owned properties in Nevada. They portfolio includes the Cortez Summit property which is located in Nevada’s Cortez Gold District. The company also owns the Ivy copper-gold project located in Nevada’s Contact Mining District and the Willow gold exploration property in Elko County, Nevada. After completion of the strategic investment and private placement, Elec Electrum currently holds 2.54 million shares of Carlin Gold, representing 8.1% of the common shares outstanding. Upon closing of the strategic investment and private placement, Electrum’s interest will increase to 34.49% of the common shares outstanding on a non-diluted basis and 40% on a fully diluted basis.
