Cincinnati Healthcare Sector Giant to Acquire Surgery Partners for $5.7B
Bain Capital would keep its nearly 40% stake as the all-cash transaction would take Surgery Partners private and end its Nasdaq listing.
On Monday, October 26, 2026, HealthSpan Partners, an affiliate of Bon Secours Mercy Health, agreed to acquire Surgery Partners in an all-cash deal valued at about $5.7 billion.
Bain Capital, which holds about 39% of outstanding shares as the largest shareholder, will roll its stake into equity and remain a partner in the company as part of the take-private transaction.
Based in Brentwood, Tennessee, Surgery Partners operates more than 200 locations across 30 states and works with about 5,000 affiliated physicians, establishing a national platform for specialized medical services.
Once the deal closes in early 2027, the company will delist from the Nasdaq and become privately held, maintaining its secular status rather than operating as a Catholic ministry.
CEO Eric Evans of Surgery Partners called the transaction the "best path forward," while John M. Starcher, Jr., president and CEO of Bon Secours Mercy Health, praised the "respected national platform rooted in strong physician relationships.
