Aurora Cannabis Reaffirms Recommendation to Shareholders: REJECT Curaleaf's Revised Hostile Bid; Preserve Opportunities for Future Upside
Aurora says the revised offer undervalues its global business and asks shareholders to wait while a special committee reviews strategic alternatives.
On Wednesday, Aurora Cannabis Inc. reconfirmed its unanimous Board recommendation to reject Curaleaf Holdings' revised hostile bid, stating the $5 per share offer significantly undervalues the company.
Curaleaf launched its hostile takeover attempt in August after private deal negotiations stalled, initially offering $4 per share before raising the bid to $5 to persuade shareholders.
Executive Chairman and CEO Miguel Martin stated Aurora is "debt-free with a strong cash position," arguing the revised bid asks shareholders to sacrifice "future upside" at a discount.
Shareholders are urged to take no action regarding the offer, which remains open until December 4, 2026, allowing time to evaluate other strategic possibilities.
The Special Committee is actively exploring strategic alternatives including third-party transactions or remaining independent, warning that tendering early could undermine opportunities for a superior outcome.
