CleanSpark Stock Gains 5% on Proposed $2.23B Debt Deal
The private placement would fund completion of the Georgia campus and reimburse prior equity investments, while the company said the notes mature in 2031.
On Thursday, CleanSpark proposed a $2.227 billion senior secured notes offering through subsidiary CSDC Finance I LLC to finance construction at its Sandersville data center campus in Georgia.
This financing supports CleanSpark's July commitment to a 20-year infrastructure lease with an unnamed global technology company, covering 175 megawatts of compute capacity at the Georgia facility.
The proposed notes carry no right to be exchanged for CleanSpark stock, avoiding direct share dilution; CSRE Properties Sandersville LLC will guarantee the debt with a first-priority lien on most assets.
CleanSpark shares gained 4.73% to close at $13.40 on Thursday following the announcement, as investors monitor project-level debt exposure for the company trading on Nasdaq under the CLSK ticker.
Completion of the private placement remains subject to market conditions and customary requirements, with the notes maturing in 2031; CleanSpark noted there is no assurance the transaction will close as proposed.
CleanSpark is preparing to issue approximately $2.23 billion in high-yield bonds to finance its AI infrastructure connected to Meta Platforms. The five-year bonds, to be used to finance its data center in Georgia, will be the first "junk bond" issuance in the US for a Meta-connected data center.
