Global Payments (NYSE:GPN) Shares Up 11.5% - What's Next?
The talks are early stage and could falter as Global Payments carries nearly $22 billion in net debt, analysts said.
On Friday, October 30, private equity firm Clayton Dubilier & Rice partnered with GTCR, Global Payments' largest shareholder, to explore a take-private acquisition of the payment processor, according to reports.
Global Payments faced a multiyear stock slump following its 2025 Worldpay acquisition, which drew investor criticism over the price tag and debt burden; activist hedge fund Elliott Investment Management later added pressure on the company.
William Blair analyst Andrew Jeffrey noted "nearly $22 billion of net debt" could impede a deal, while Deutsche Bank analyst Nate Svensson cited the company's scale and cash flow as "increasingly compelling" for private capital.
On Tuesday, Global Payments amended its bylaws designating the Georgia State-wide Business Court as the exclusive forum for internal claims, a tactical governance shift simplifying the legal battlefield ahead of potential deal negotiations.
Wall Street remains divided on the deal's viability, with analysts from KeyBanc, Oppenheimer, and Baird projecting take-out prices between $108 and $130 per share, though completion odds remain uncertain.
