Australia’s Challenger gets takeover bid from unit of Japan’s Daiichi Life
The proposal is non-binding and conditional, with Challenger’s board reviewing it as TAL Daiichi Life seeks to buy the shares it does not already own.
On Oct 19, 2026, TAL Daiichi Life Australia submitted an indicative, conditional proposal to acquire the remaining stake in Challenger at $11.80 per share, valuing the Australian investment manager at $7.8 billion.
Daiichi Life already holds a 20.36% stake in Challenger, having initially acquired a 15.1% minority stake from Insurance Group Holdings in Oct 2025, and now seeks full control of the remaining 79.5% interest.
The offer represents a 19.8% premium over Challenger's closing price on Oct 16 and a 17.7% premium to the firm's one-month VWAP of $10.03, underscoring the valuation uplift sought.
Challenger's Board is reviewing the non-binding proposal to assess shareholder interests, advising that no decision has been made and shareholders need take no action at this stage.
Completion remains subject to due diligence and regulatory approvals, with Challenger cautioning there is no guarantee the indicative offer will result in a binding deal or completed transaction.
